Governance

At ADAMA, we aspire to conduct business according to the highest standards of integrity, fairness, reliability, transparency and responsibility. We see these values as essential for long-term success, and have established them through corporate governance – a system of standards, rules and guidelines that serve as the basis for all our operations.

Our guiding principles in corporate governance are transparency and simplicity. We aim to internalize the values of Corporate Social Responsibility in our corporate culture, and to continue to persevere in disclosure and transparency.

Code of Conduct

The Code of Conduct provides information that helps us work fairly and honestly when dealing with government authorities, suppliers, customers, competitors, our employees and the community.

Our policy is to require all relevant employees to complete online anti-bribery training, on an annual basis. In addition, all employees who may face anti-competition issues (such as commercial and sales employees, regulatory staff, purchasing managers, and country managers) must undergo annual online anti-trust training.

ADAMA is committed to conducting its business in an ethical and compliant manner and therefore has established procedures for reporting and handling concerns.

All employees are encouraged to report any concern about the company’s standards not being met, or if they believe they have identified an ethical issue.

The Board of Directors and Committees

The ADAMA Ltd. board of directors consists of five directors, of which two are independent directors, comprising more than one third of the members of the board of directors.

Risk Management

Comprehensive risk management by Adama maximizes financial returns for our stakeholders, despite the unavoidable risks and uncertainties of the business environment. Our methodology includes an initial mapping of risks relating to the company’s activities, an in-depth analysis of their potential impact and preparing strategies for coping with each risk category.
